Version 2 – effective 2 November 2026. Please read these terms carefully: by installing, opening or paying for a Decus app or Decus Cloud you agree to them on behalf of yourself and the business you represent.
1. Who we are
Decus Go, DecusBooks, eDecus, Decus Team and Decus Cloud (together, the "Service") are provided by Integrity Group of Kampala, Uganda, trading as Decus ("Decus", "we", "us"). "You" means the business or person that uses the Service, and anyone using it on your behalf. Contact: info@decuscloud.com or WhatsApp +256 789 887684.
2. Licence, not sale
- The Service is licensed, not sold. While your plan is active and you keep to these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the apps, for your own internal business, on the number of devices and users your plan allows.
- Decus and its licensors own all rights, title and intellectual property in the Service, including the software, source code, designs, databases, documentation, brand names and logos, and every update, improvement and copy. Nothing in these terms transfers any of these rights to you.
- You must not copy, resell, rent, sub-license, share licence keys, modify, decompile, reverse-engineer or remove notices from the Service, or remove or bypass any licence check, except where the law expressly allows it.
- If you send us ideas or feedback, we may use them freely without paying you.
3. Your account
- You sign in with Google or with a code sent to your e-mail. Keep your sign-in methods, PINs and devices safe; you are responsible for everything done through your account.
- The person who creates a shop or company is its owner and decides who else may use it. Give true and complete details and keep them up to date.
- You must be at least 18 years old and able to enter a binding contract.
4. Plans, prices and payment
- Paid plans are subscriptions or prepaid periods. You pay in advance for the period you choose; the plan runs until the end of that period and, if you choose automatic renewal, renews for the same period until you cancel.
- Prices are quoted to you before you pay and are exclusive of VAT and other taxes. Where VAT applies, it is added at the applicable rate (currently 18% in Uganda). You also bear any bank, card or mobile-money charges.
- If a payment fails or is reversed, we may limit, suspend or downgrade the plan until it is paid.
- We may change prices for future periods. We will tell you at least 30 days before a new price applies to your next renewal; the price of a period you have already paid does not change.
5. Refunds
If you are not satisfied with your first purchase of a paid plan, you may ask for a refund within 7 days of that first payment, by e-mail or WhatsApp. After those 7 days, and for renewals, upgrades, add-ons, services already delivered (such as set-up, training, data migration or EFRIS go-live) and partly used periods, payments are not refundable. This does not affect any right to a refund that the law gives you and that cannot be excluded.
6. Free plans, trials and demo mode
Free plans, free trials and demo mode are offered as a courtesy. We may change their features or limits, or end them, at any time. Demo data is sample data only and is not to be relied on.
7. Acceptable use
You must not, and must not let anyone else:
- use the Service for anything unlawful, fraudulent or harmful, including tax evasion, money laundering or false invoicing;
- pirate, crack, share or resell licences or accounts, or use the Service beyond what your plan allows;
- break, probe, overload or disrupt the Service or its security, or access accounts or data that are not yours;
- send spam or unlawful, abusive or infringing content through the Service, or upload malware;
- process other people's personal data without a lawful basis.
8. Suspension and termination
- We may suspend or limit the Service, or end these terms and your account, if you do not pay, if you breach these terms (including piracy, licence sharing or misuse), if your use harms us, other customers or third parties, or if the law or an authority requires it. Where reasonable we will warn you first, but we may act at once in serious cases.
- You may stop using the Service and delete your account at any time; this does not entitle you to a refund except under section 5.
- When the Service ends, your licence ends and you must stop using the apps. You may ask for an export of your Decus Cloud data within 30 days, after which we may delete it, except records we must keep by law.
9. Your data and your responsibilities
- Your business data belongs to you. You give us the rights we need to host, process, back up and transmit it to run the Service, as described in our Privacy notice.
- You are responsible for the accuracy and lawfulness of the data you enter, for how you use the results, and for keeping your own backups of data stored only on your devices or computers (such as local DecusBooks company files).
- You are responsible for your own tax returns, EFRIS submissions, payroll deductions, invoices and compliance with the laws that apply to your business. Decus provides tools; it does not give tax, legal or accounting advice and does not file anything on your behalf unless agreed in writing.
- When you put personal data of your customers or staff into the Service, you are the data controller and we process it for you, on your instructions.
10. The Service is provided "as is"
We work to keep the Service available, secure and backed up, but it is provided "as is" and "as available". To the fullest extent the law allows, we give no warranty that it will be uninterrupted, error-free, fit for a particular purpose, or that it meets the requirements of any tax or other authority, and all implied warranties are excluded. Third-party services (such as Google, mobile-money and card providers, WhatsApp, URA systems and internet providers) are outside our control.
11. Limitation of liability
- To the fullest extent the law allows, Decus is not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, data or anticipated savings, or for penalties, interest or tax charged to you, however caused.
- Decus's total liability arising from or in connection with the Service, in contract, tort (including negligence) or otherwise, is limited to the fees you actually paid to Decus for the Service in the 12 months before the event giving rise to the claim.
- Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot be limited by law.
12. Indemnity
You will indemnify and hold harmless Decus, its owners, staff and suppliers against any claim, loss, penalty, cost or expense (including reasonable legal fees) arising from your data, your use of the Service, your breach of these terms or your breach of any law or third-party right.
13. Changes to the Service and these terms
We may improve, change or withdraw features. We may update these terms; we will give at least 30 days' notice of material changes in the app, by e-mail or on this page, and the date of the current version is shown above. If you keep using the Service after a change takes effect, you accept the new terms; if you do not agree, you may stop using the Service before then.
14. General
- These terms, the plan details shown when you pay and any written quote you accept are the whole agreement between us about the Service.
- You may not transfer your account or these terms without our written consent; we may transfer them to a company that takes over the Service.
- If a part of these terms is found unenforceable, the rest stays in force. A delay in enforcing a right is not a waiver of it.
- Neither of us is liable for delays caused by events beyond reasonable control, such as power or network failures, natural disasters or government action.
15. Governing law and disputes
These terms are governed by the laws of the Republic of Uganda. We will first try to settle any dispute in good faith by talking to you. If that fails, the courts of Uganda sitting in Kampala have exclusive jurisdiction.
